1. Introduction and Acceptance of Terms

All services are provided on a best-efforts basis and are customized based on client objectives, inputs, timelines, and market conditions.

The Company does not guarantee specific outcomes, revenues, rankings, conversions, traffic volumes, or return on investment.

3. No Guarantee of Results

Marketing outcomes depend on multiple variables outside the Company’s control, including but not limited to platform algorithms, competition, industry trends, budget constraints, client responsiveness, third-party tools, and external market conditions.

Any references to growth, performance, success stories, metrics, or testimonials are illustrative only and do not constitute a guarantee of future results.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information
  • Supply necessary access credentials, content, approvals, and assets
  • Comply with all applicable laws, advertising policies, and platform rules
  • Ensure that products and services promoted are lawful and compliant

Failure to meet these responsibilities may delay or impair performance and does not entitle the client to refunds or compensation.

5. Payments and Billing

Fees, billing schedules, and payment terms are defined in proposals, invoices, checkout pages, or written agreements.

Accepted payment methods may include Stripe, ACH transfers, wire transfers, and other approved processors.

Unless explicitly stated otherwise:

  • Fees are billed in advance
  • Services commence upon payment confirmation
  • Late payments may result in suspension or termination of services

All third-party processing fees, taxes, and transaction costs are the responsibility of the client.

6. Refunds and Cancellations

Refund eligibility is governed by the Refund and Cancellation Policy, which forms an integral part of these Terms.

Generally:

  • Strategy, setup, onboarding, and executed work are non-refundable
  • Active campaigns, ad spend, and third-party costs are non-refundable
  • Termination does not void outstanding payment obligations

7. Intellectual Property

All methodologies, frameworks, processes, templates, strategies, tools, and proprietary materials developed or used by First Point Media LLC remain the exclusive intellectual property of the Company unless explicitly transferred in writing.

Upon full payment, the client receives a non-exclusive, non-transferable license to use deliverables solely for their intended business purposes.

The Company reserves the right to reuse non-confidential knowledge, techniques, and experience.

8. Third-Party Platforms and Tools

The Company utilizes third-party platforms such as Google, Meta, hosting providers, analytics services, and payment processors.

First Point Media LLC is not responsible for:

  • Platform policy changes
  • Account suspensions or bans
  • Downtime or service interruptions
  • Data loss caused by third parties

Clients agree to comply with all applicable third-party terms and policies.

9. Confidentiality

Both parties agree to maintain confidentiality of non-public business information exchanged during the engagement.

Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Was lawfully obtained from third parties
  • Is required to be disclosed by law or court order

10. Limitation of Liability

To the maximum extent permitted by law, First Point Media LLC shall not be liable for:

  • Indirect, incidental, consequential, or special damages
  • Lost profits, lost revenue, or loss of business opportunities
  • Platform changes or algorithm updates
  • Client decisions made based on provided services

Total liability shall not exceed the amount paid to the Company in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless First Point Media LLC from any claims, damages, liabilities, penalties, or expenses arising from:

  • Your business activities
  • Content you provide
  • Violations of laws or platform policies
  • Misrepresentation of products or services

12. Acceptable Use

You may not use the Company’s services to promote or engage in:

  • Illegal or fraudulent activities
  • Deceptive advertising or false claims
  • Spam, phishing, or malicious software
  • Restricted or prohibited industries without disclosure

The Company reserves the right to refuse or terminate services at its sole discretion.

13. Termination

Either party may terminate the relationship in accordance with agreed terms or written notice.

Upon termination:

  • Outstanding fees remain payable
  • Access to tools and systems may be revoked
  • No obligation exists to continue services

14. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, platform outages, labor disputes, or network failures.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Wyoming, United States.

Any disputes shall be resolved exclusively in the competent courts of Wyoming, unless otherwise required by applicable consumer protection laws.

16. Modifications to Terms
