3. Client Deliverables and Usage Rights

Upon full payment of all applicable fees, the client is granted a limited, non-exclusive, non-transferable license to use final deliverables solely for their own internal business purposes.

Unless explicitly agreed in writing:

• Ownership of underlying methodologies remains with the Company
• Licenses do not include resale, sublicensing, or redistribution rights
• Rights apply only to finalized deliverables, not drafts or concepts

4. Excluded Rights

Clients do not acquire ownership rights to:

• Strategic frameworks or systems
• Templates, processes, or reusable assets
• Source files, raw data, or working files
• Internal tools, scripts, or automation logic

Any transfer of ownership must be explicitly documented in a separate written agreement.

5. Third-Party Intellectual Property

Services may incorporate third-party intellectual property, including software platforms, fonts, plugins, libraries, stock assets, or licensed tools.

Such materials remain subject to the respective third-party terms and licenses.

The Company does not grant rights beyond those permitted by third-party licensors.

6. Client-Provided Materials

Clients represent and warrant that any materials they provide do not infringe the intellectual property rights of third parties.

Clients retain ownership of their pre-existing intellectual property and grant the Company a limited license to use such materials solely for service delivery purposes.

7. Portfolio and Promotional Use

Unless expressly prohibited in writing, First Point Media LLC reserves the right to reference completed projects, non-confidential results, and general descriptions of services for portfolio, marketing, and promotional purposes.

Confidential or sensitive information will not be disclosed without consent.

8. Infringement and Enforcement

Unauthorized use, reproduction, modification, or distribution of Company intellectual property is strictly prohibited.

The Company reserves the right to pursue all available legal remedies in the event of infringement or misuse.

9. Termination Effects

Upon termination of services:

• Licenses granted to the client remain subject to payment status
• Unauthorized continued use may result in revocation
• Confidential and proprietary materials must not be retained or reused

Revisions will be posted on the Website with an updated Effective Date.
